Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your use of the DataLedger service ("Service"), including our website, API, and related services provided by DataLedger ("we", "us", or "our"), a company to be incorporated in Scotland.
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.
2. Service Description
DataLedger provides access to processed and structured UK company and economic data sourced from Companies House and Office for National Statistics (ONS) open datasets. We parse, structure, and deliver this data through our API and web interface to enable commercial use.
Data Sources:
Companies House public data (updated daily for annual accounts)
ONS open data
Company register information (updated monthly)
3. User Accounts and Registration
3.1 You must create an account to access our Service. You are responsible for maintaining the confidentiality of your account credentials.
3.2 You must provide accurate and complete information during registration and keep your account information updated.
3.3 You are responsible for all activities that occur under your account.
4. Token-Based Usage System
4.1 Our Service operates on a token-based system where API requests consume tokens based on the endpoint accessed.
4.2 Tokens are obtained through:
One-off purchases of specific token quantities
Monthly subscriptions with token allocations that reset each billing cycle
Free trial tokens (where applicable)
4.3 Monthly subscription tokens reset at the beginning of each billing cycle and do not roll over to the next period.
4.4 Unused tokens from one-off purchases do not expire unless your account is terminated.
5. Fair Usage Policy and Rate Limits
5.1 All users are subject to a rate limit of 50,000 tokens per hour, calculated on a rolling basis.
5.2 If you exceed the rate limit, you will receive HTTP 429 (Too Many Requests) error responses and must wait for the rate limit window to reset before making additional requests.
5.3 You agree not to:
Attempt to circumvent rate limits or token restrictions
Use automated systems to systematically download large portions of our dataset beyond normal commercial use
Make excessive retry attempts that could impact service performance for other users
Share account credentials or tokens with unauthorised parties
5.4 We reserve the right to adjust token consumption rates for different endpoints and will provide reasonable notice of such changes.
6. Payment Terms
6.1 Fees for token purchases and subscriptions are as displayed on our website and are subject to change with 30 days' notice.
6.2 All payments are processed through Stripe and are subject to their terms of service.
6.3 Monthly subscription fees are charged in advance on your billing date.
6.4 One-off token purchases are charged immediately upon purchase.
6.5 All fees are non-refundable except as specified in Section 7 (Refunds).
7. Refunds
7.1 Monthly subscriptions may be refunded on a pro-rata basis for significant service outages that prevent normal use of the Service.
7.2 Unused monthly subscriptions may be refunded within 7 days of purchase, provided no tokens have been consumed.
7.3 One-off token purchases are non-refundable once tokens have been consumed, except in cases of proven service defects.
7.4 Refunds will be processed through the original payment method via Stripe within 5-10 working days.
8. Data Usage Rights
8.1 The underlying data provided through our Service originates from public datasets (Companies House and ONS open data).
8.2 You may use the data obtained through our Service for any lawful commercial or non-commercial purpose, including redistribution to third parties.
8.3 Whilst the underlying data is open, our processing, structuring, and API constitute proprietary work. You may not reverse engineer, replicate, or compete directly with our data processing methods.
8.4 We provide no warranties regarding the accuracy, completeness, or timeliness of the data, though we make reasonable efforts to maintain data quality. You accept all risk associated with the use, redistribution, or reliance upon our data by yourself or any third party, and agree that we shall have no liability for any loss or damage arising from any such use.
9. Data Protection and Privacy
9.1 We collect and process personal data in accordance with UK GDPR and our Privacy Policy.
9.2 We store email addresses through Auth0 for authentication and payment information through Stripe for billing purposes.
9.3 We do not store or have access to sensitive payment details, which are handled exclusively by Stripe.
10. Service Availability
10.1 We aim to provide reliable service availability but do not guarantee uninterrupted access.
10.2 We may perform scheduled maintenance with reasonable advance notice where practicable.
10.3 We are not liable for service interruptions due to circumstances beyond our reasonable control.
11. Intellectual Property
11.1 Our Service, including our API, website design, data processing methods, and documentation, is protected by intellectual property rights.
11.2 You are granted a limited, non-exclusive license to use our Service in accordance with these Terms.
11.3 The underlying public data remains subject to the original open data licenses from Companies House and ONS.
12. Prohibited Uses
You may not use our Service to:
Violate any applicable laws or regulations
Infringe upon the rights of others
Attempt to gain unauthorised access to our systems
Interfere with or disrupt our Service
Use the Service for any unlawful or fraudulent purpose
13. Account Termination
13.1 You may terminate your account at any time by contacting us.
13.2 We may suspend or terminate your account immediately if you violate these Terms.
13.3 Upon termination, your access to the Service will cease, but these Terms will continue to apply to prior use.
13.4 Unused tokens from one-off purchases will be forfeited upon account termination.
14. Disclaimers and Limitation of Liability
14.1 THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
14.2 WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
14.4 WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
15. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
16. Changes to Terms
16.1 We may modify these Terms at any time by posting updated Terms on our website.
16.2 Continued use of the Service after changes constitutes acceptance of the modified Terms.
16.3 Material changes will be communicated via email where possible.
17. Governing Law and Jurisdiction
17.1 These Terms are governed by the laws of Scotland and the United Kingdom.
17.2 Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.
18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
20. API Changes and Versioning
20.1 We may modify, update, or deprecate API endpoints as needed to improve our Service.
20.2 We will provide reasonable notice of material API changes via email and, where technically feasible, through API response headers.
20.3 Continued use of the Service after API changes constitutes acceptance of the modified API functionality.
20.4 We are not liable for any disruption to your systems resulting from API changes, provided reasonable notice has been given.
